Welcome to Solution 360. These Terms of Service ("Terms") govern your use of our website and the social media management services ("Services") provided by Solution 360 ("Company," "we," "us," or "our") to small business owners and clients ("Client," "you," or "your").
By accessing our website or purchasing our Services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
Scope of Services
Solution 360 provides digital marketing and social media management services, which may include content strategy, graphic design, copywriting, video editing, community management, and analytics reporting, depending on the package selected.
Exclusions: Unless explicitly stated in writing, our services do not include paid advertising budgets (ad spend), on-site photography/videography, or customer service handling for your business inquiries.
Client Responsibilities & Account Access
To effectively manage your brand, you agree to:
Provide timely access to your social media accounts via secure access sharing methods or password managers.
Supply necessary brand assets, including high-resolution logos, style guides, and images/videos.
Content Approval Workflow: Solution 360 will submit content drafts for your review at least five (5) business days prior to scheduled publication. You have forty-eight (48) hours to request revisions. If no feedback is provided within this timeframe, the content will be deemed approved and will be published as scheduled.
Fees, Payments, & Billing
Retainer Model: All services are billed on a monthly retainer basis and must be paid in advance before work for the upcoming month commences.
Late Payments: If payment is not received within five (5) days of the invoice due date, Solution 360 reserves the right to pause all services, including content scheduling and community management, until the account is brought current.
No Refunds: Due to the digital and custom nature of our creative work, all payments made to Solution 360 are strictly non-refundable.
Cancellation & Termination
Either party may terminate the service agreement by providing a 30-day written notice via email.
If you cancel mid-billing cycle, services will continue until the end of the paid period, and no partial refunds will be issued.
Intellectual Property Rights
Client Ownership: You retain all rights to the logos, trademarks, and assets you provide to us.
Final Deliverables: Upon full payment of the monthly invoice, ownership of the specific graphic designs and written copy created for your social media channels during that month transfers to you.
Agency Promotion: Solution 360 reserves the right to showcase case studies, screenshots, and links to your public social media profiles in our portfolio and marketing materials, unless a Non-Disclosure Agreement (NDA) is signed.
Limitation of Liability & Platform Disclaimers
Platform Fluctuations: Solution 360 manages your profiles but does not control the social media platforms themselves. We are not liable for algorithm shifts, sudden drops in organic reach, third-party platform downtime, or account suspensions/restrictions imposed by networks like Meta, TikTok, LinkedIn, or Google.
Financial Cap: To the maximum extent permitted by law, Solution 360's total liability for any claim arising out of our services shall not exceed the total amount paid by the Client to the Company during the single month immediately preceding the event giving rise to liability.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
